AGREEMENT BETWEEN LISTING-AGENT AND RDL

Listings in the database located on VeterinarySolutions.com (referred to as the "WEB SITE") are offered by RDL Web Development LLC dba RDL's VeterinarySolutions.com (referred to as "US" or "RDL"), to you, an agent authorized by your veterinary-related business or organization (referred to as "YOU" or "LISTING-AGENT"), conditioned on your acceptance without modification of the terms, conditions, and notices contained in this agreement (denoted as Terms of Listing-agent Use ("TOLU")). Your use of this listing service constitutes your agreement to all such terms, conditions and notices within the TOLU and also within the general Terms of Use (referred to as "TOU")agreement.

DESCRIPTION OF WEB SITE'S LISTING SERVICE

Through this Web site's Listing Registration , RDL currently provides the Listing-agent with the ability to list their service and/or products (referred to as a "LISTING") on our database - either a free basic listing, or a paid enhanced listing (see "Types of Listings" below). This database will be searchable via search criteria selected by any visitor to our site (referred to as the "CLIENT"), and part or all of the information, as determined solely by RDL (except for confidential information -- see our Privacy Policy) may be shown to the client. The Web site may in the future include other features or resources that shall also be subject to the TOLU

YOUR REGISTRATION OBLIGATIONS

In consideration of your creation of a listing on this Web site, you agree to: (a) provide true, accurate, current and complete information about yourself and the listing, as prompted by the Web site's Meeting/Resource Registration Form or in any other manner in which it may be submitted (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or RDL has any reason to suspect that such information is untrue, inaccurate, not current, incomplete, or inappropriate including but not limited to crude, rude, or pornographic material, slanderous/libelous material, and non-veterinary related material (AT THE SOLE DISCRETION OF RDL), RDL has the right to suspend or terminate your listing and/or account and refuse any and all current or future use of the Web site, Web site listing service or any portion thereof.

PASSWORD AND SECURITY

You will setup a password during the Meeting/Resource Listing Registration process. You are responsible for maintaining the confidentiality of the password, and are fully responsible for all activities that occur under your password. You agree to immediately notify RDL of any unauthorized use of your password or any other breach of security. (Note: the password will work only with a registered valid email to allow access to security areas.)

LIMITATIONS ON USE

This Web site and the listing service is for veterinary-related activity use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from this Web site without express permission.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of this Web site and it’s listing service, you warrant to RDL that you will not use this Web site or this service for any purpose that is unlawful or prohibited by these terms, conditions, and notices.

INDEMNITY

You agree to indemnify and hold RDL, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of information you submit, post to or transmit through the web site, your use of the Web site, your connection to the Web site, your violation of the TOLU, or your violation of any rights of another.

TYPES OF LISTINGS

There are three (3) listing types: ( 1 )"FEATURED LISTING" is a paid service, by invitation only, where a meeting, service or product is featured on our opening or "home" page.  Other services may be included with this.  ( 2 ) "ENHANCED LISTING" - a listing in our database that has been paid to be presented in any enhanced format, i.e. containing hyperlinks to different sites or pages, and | or being shown with larger or colorful text or pictures. There are currently 3 different enhancement packages - enhanced-basic, link-enhanced and basic-and-link-enhanced.  See listings for more detail.   And ( 3 ) "BASIC LISTING" - a non-enhanced listing, currently offered for free .  RDL reserves the right to add modify or eliminate any of the listing types or packages.  

GENERAL PRACTICES REGARDING LISTINGS AND STORAGE

You acknowledge that RDL may establish general practices and limits concerning use of the Web site, including without limitation the maximum number of listings that will be allowed or retained by the Web site, and the maximum disk space that will be allotted on RDL's servers on your behalf. You agree that RDL has no responsibility or liability for the deletion or failure to store or display any listing or other information maintained or transmitted by the Web site. You acknowledge that RDL reserves the right to remove listings that RDL determines (at it's sole discretion) to no longer be active or to be expired. Featured and Enhanced listings may, at RDL's sole discretion, be downgraded to a basic listing for any cause, including but not limited to non-payment or slow payment, which may result in a setup fee to reinstate the enhanced listing status. You further acknowledge that RDL reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

ACCESS RESTRICTION/TERMINATION

You agree that RDL, in its sole discretion, may terminate your password and listing(s) or any part thereof, or use of the Web site Listing service, and remove and discard any content or information within the Web site, for any reason, including, without limitation, for lack of use or if RDL believes that you have violated or acted inconsistently with the letter or spirit of the TOLU. RDL may also in its sole discretion and at any time discontinue providing the Web site, the Web site Listing service, or any part thereof, with or without notice. You agree that any termination of your access to the Web site under any provision of this TOLU may be effected without prior notice, and acknowledge and agree that RDL may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Web site, the listing service, or any part thereof.  Further, you agree that RDL shall not be liable to you or any third-party for any termination of your use of, or access to, the Web site.

MODIFICATION OF THESE TERMS AND CONDITIONS

RDL reserves the right to change the terms, conditions, and notices under which this Web site is offered at any time and without notice.

GENERAL

This agreement is governed by the laws of the Commonwealth of Massachusetts, U.S.A. You hereby consent to the exclusive jurisdiction and venue of courts in Essex County, Massachusetts, U.S.A. in all disputes arising out of or relating to the use of this Web site and it’s listing service. Use of this Web site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and RDL as a result of this agreement or use of this Web site or it’s listing service. RDL's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of RDL's right to comply with governmental, court and law enforcement requests or requirements relating to your use of this Web site or information provided to or gathered by RDL with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. This agreement, along with the general 'Terms of Use' agreement, constitutes the entire agreement between the listing-agent and RDL with respect to listings on this Web site and they supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and RDL with respect to listings on this Web site. A printed version of these agreements and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any rights not expressly granted herein are reserved.
